Terms of Use & Conditions

These Terms and Conditions ("Agreement") govern all professional service engagements between Oliver Labawan, operating under the brand vier.dev ("Contractor," "I," "me"), and any individual or business entity ("Client," "you") who engages my services. By submitting a project inquiry, signing a proposal, making payment, or communicating intent to work together, you acknowledge and agree to these terms in full.

1. SERVICES

1.1 Scope of Services

I provide professional freelance services including, but not limited to:
 

  • Digital Operations Management — workflow design, SOP development, process documentation

  • Marketing Automation — email campaign setup, automated sequences, lead nurturing systems

  • CRM Configuration & Management — GoHighLevel, Wix CRM, pipeline setup, segmentation

  • Website Development — Wix Editor, Velo (JavaScript), CMS, dynamic pages, conversion optimization

  • Workflow Automation — Zapier, Make (Integromat), ManyChat, GoHighLevel Automations

  • Social Media Management — content planning, scheduling, analytics, engagement

  • Content & Visual Design — Figma, Canva, social media assets, brand-aligned content

  • Administrative Virtual Assistance — scheduling, documentation, task coordination, file management

  • Funnel Systems & Lead Management — funnel architecture, landing page setup, lead tracking

1.2 Scope Definition

All deliverables, timelines, and pricing are defined in a written Project Proposal or Service Agreement issued prior to project commencement. Work performed outside the agreed scope constitutes additional billable work and requires a separate written agreement or approved Change Order.

1.3 Scope Creep
 

If a Client requests work beyond the agreed scope during an active project, I will issue a Change Order detailing the additional work, cost, and timeline adjustment. No out-of-scope work will commence without written Client approval of the Change Order.

2. ENGAGEMENT PROCESS

2.1 Project Initiation
 

A project is formally initiated only when:
 

  1. A written proposal or service agreement has been sent and acknowledged.

  2. The required deposit or full payment has been received (as specified in the proposal).

  3. The completed Client Onboarding Form has been submitted.

2.2 Revision Policy
 
Unless otherwise specified in the project proposal, services include the following revision rounds:
 

  • Website Projects: Up to two (2) rounds of revisions per deliverable phase.

  • Automation & CRM Setup: Up to two (2) rounds of configuration adjustments post-delivery.

  • Content & Design: Up to two (2) rounds of revisions per asset set.

  • Administrative & VA Support: Revisions are included within active working hours.

Additional revisions beyond the included rounds are billed at my standard hourly rate.

2.3 Client Cooperation
 

Timely delivery of my work depends on timely cooperation from the Client. This includes providing access credentials, feedback, content, approvals, and any other materials required. Delays caused by late Client responses will adjust project timelines accordingly, with no penalty to the Contractor.

3. PAYMENT TERMS

3.1 Pricing
 

All pricing is outlined in the project proposal and agreed upon in writing before project commencement. Prices are quoted in Philippine Pesos (PHP) for domestic clients or US Dollars (USD) for international clients, as agreed.

3.2 Deposit Requirement
 

  • Project-based work: A 50% non-refundable deposit is required before work begins.

  • Monthly retainer arrangements: First month is due in full before commencement.

  • No work will begin until payment is confirmed.

3.3 Payment Schedule
 

  • Project-based: 50% deposit upfront; 50% balance upon project completion and final delivery.

  • Milestone-based: As specified in the project proposal.

  • Retainer/ongoing: Due on the 1st of each month, or as agreed in writing.

3.4 Late Payment
 

Invoices are due within seven (7) days of the invoice date unless otherwise agreed. Payments outstanding beyond 14 days may result in:

  • Suspension of active work until payment is received.

  • A late fee of 5% of the outstanding balance per week of delay.

  • Termination of the agreement at my discretion, with all completed work withheld until payment is settled.

3.5 Payment Methods
 

Accepted payment methods will be communicated in the proposal. Currently accepted:
 

  • GCash / Maya (domestic Philippines)

  • Bank Transfer (BDO, BPI, or other mutually agreed banks)

  • PayPal, Wise, or other internationally agreed methods

4. INTELLECTUAL PROPERTY & OWNERSHIP

4.1 Client Ownership Upon Full Payment
 

Upon receipt of full and final payment, the Client receives full ownership rights to all custom deliverables created specifically for their project, including website designs, automation configurations, content assets, and documentation.

4.2 Contractor Rights Prior to Full Payment
 

Until full payment is received, all deliverables remain the intellectual property of Oliver Labawan. The Client has no right to use, publish, distribute, or deploy any deliverable until payment is complete.

4.3 Portfolio Rights
 

I reserve the right to feature completed work in my professional portfolio, case studies, and marketing materials unless the Client provides a written confidentiality request prior to project commencement. General project descriptions, anonymized results, and process screenshots may be used even if full project display is restricted.

4.4 Third-Party Tools & Platforms
 

Work built on third-party platforms (Wix, GoHighLevel, Zapier, etc.) is subject to those platforms' own terms of service. I do not claim ownership of the platforms themselves — only of the configurations and assets I create within them.

4.5 Pre-existing Materials
 

Any materials, assets, or content the Client provides remain the property of the Client. By providing them to me, the Client warrants that they have the right to share and use said materials.

5. CONFIDENTIALITY

5.1 Client Confidentiality
 

I treat all Client business information, login credentials, customer data, financial data, and strategic plans as strictly confidential. I will not disclose, share, or use this information for any purpose outside the scope of the agreed services.

5.2 Non-Disclosure
 

Unless otherwise agreed in a separate Non-Disclosure Agreement (NDA), these confidentiality obligations are binding throughout the project and for two (2) years following project completion or termination.

5.3 Credential Security
 

All credentials and access information shared by the Client will be stored securely and deleted from my records upon project completion or termination, unless ongoing access is required for retainer arrangements.

6. COMMUNICATION & AVAILABILITY

6.1 Primary Communication Channels
 

All project-related communication will be conducted through agreed channels, typically email, WhatsApp, or a designated project management tool. Response times are generally within 24–48 hours on business days.

6.2 Business Hours
 

My standard working hours are Monday to Friday, 8:00 AM – 6:00 PM (Philippine Standard Time, PST/UTC+8). Communication outside these hours will be addressed on the next business day. Urgent or after-hours support may be arranged at an additional rate.

6.3 Project Management
 

For active projects, I use structured tools (ClickUp, Trello, or equivalent) to manage tasks, timelines, and deliverables. Clients will be given access to the relevant project board for full transparency.

7.2 Cancellation by Contractor
 
I reserve the right to terminate an engagement if:

  • The Client engages in abusive, hostile, or unethical conduct.

  • Payment obligations are not met within the stated timeframe.

  • The Client requests actions that violate applicable laws or platform terms of service.

In such cases, a pro-rata refund of any unused portion of prepaid fees (excluding the non-refundable deposit) will be issued within 14 business days.

7. CANCELLATION & TERMINATION

7.1 Cancellation by Client
 

If the Client cancels the project after commencement:

  • The 50% deposit is non-refundable under all circumstances.

  • Any work completed beyond the deposit value is due and payable within 7 days of cancellation.

  • Deliverables completed up to the point of cancellation will be transferred to the Client only upon receipt of all outstanding payments.

7.3 Retainer Termination
 

Retainer agreements require 14 days written notice from either party to terminate. Work will continue until the end of the current billing period, after which all obligations cease.

8. WARRANTIES & DISCLAIMERS

8.1 Service Quality
 

I deliver professional-grade work to the best of my ability, following industry best practices. However, I make no guarantee of specific business outcomes — including, but not limited to: sales performance, lead generation results, conversion rates, or search engine rankings. Results are influenced by many factors outside my control.

8.2 Third-Party Platforms
 

I am not responsible for downtime, feature changes, pricing changes, or policy updates from third-party platforms (Wix, GoHighLevel, Zapier, Meta, etc.) that may affect project deliverables. If a platform change requires additional work to accommodate, this may be billed as out-of-scope work.

8.3 No Guarantee of Uninterrupted Service
 

I am a sole proprietor. In the event of a personal emergency, illness, or other unforeseen circumstance, I will notify the Client as soon as possible and outline a revised timeline for project delivery.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, my total liability to the Client for any claim arising out of or related to services rendered shall not exceed the total fees paid by the Client for the specific project in question. I am not liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data loss, or business interruption.

10. GOVERNING LAW & DISPUTES

10.1 Governing Law
 

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

10.2 Dispute Resolution
 

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes will be submitted to mediation before any legal proceedings are initiated.

10.3 Jurisdiction
 
Any legal proceedings shall be brought in the appropriate courts of Dipolog City, Philippines, unless otherwise agreed in writing.

11. AMENDMENTS

I reserve the right to update these Terms and Conditions at any time. Changes will be posted on my website with a revised effective date. For active project engagements, the terms in force at the time of project commencement apply.

12. ENTIRE AGREEMENT

This document, together with the applicable Project Proposal or Service Agreement, constitutes the entire agreement between the parties regarding the services described. It supersedes all prior discussions, representations, or understandings, whether oral or written.
